BYLAWS OF THE

TEXAS GIRLS COACHES ASSOCIATION

 

 

 

 

 

                        ARTICLE I.                NAME

 

            The name of this association shall be the Texas Girls Coaches Association, herein referred to as TGCA.

 

 

 

 

                        ARTICLE II.               OBJECT

 

The object of the Texas Girls Coaches Association shall be to:

           

Section 1.  Help maintain the highest possible standards in athletics and the coaching profession and to work together for the improvement of the conditions in Texas school athletics for girls.

           

Section 2.  Secure a better understanding of the problems of school coaching and to place sources of information at the disposal of coaches.

           

Section 3.  Endeavor to improve interscholastic sports in all phases by aiding the coaches in securing a more thorough understanding of the various interscholastic competitive activities.

           

Section 4.  Have a representative group of coaches to which may be referred athletic problems of general interest in the hope of creating better relations among schools, athletes, fans and officials.

           

Section 5.  Promote good fellowship and social contact among coaches.

           

Section 6.  Represent the viewpoint and philosophies of TGCA to the Legislative Council and committees of the University Interscholastic League and the Texas Education Agency.

 

 

 

                                               


            ARTICLE III.              MEMBERS

 

            Section 1.  Classification.  The membership of TGCA shall be composed of active, allied, associate and student members.

 

                 A.  Active members shall be those persons in good standing and who are coaches of elementary and secondary schools and athletic directors who are actively coaching Texas interscholastic sports for girls.  Any active member who leaves the coaching field shall automatically become an associate member for the remainder of the current year.

 

                 B.  Allied members shall be those persons in good standing and who are retired coaches, coaching in colleges, junior colleges and universities or who are out-of-state coaches.  Allied members shall not be eligible to vote or hold office in TGCA.

 

                 C.  Associate members shall be those persons in good standing and who are:  Interested in the girls coaching field but not actively coaching at the time of joining; and businesses in good standing who are interested in girls athletics.  Associate members shall not be eligible to vote or hold office in TGCA and will not receive a membership card.

 

                 D.  Student members shall be those persons in good standing who are currently full-time students in an accredited college or university.  Student members shall not be eligible to vote or hold office in TGCA.

 

            Section 2.  Honorary Member.  The Board of Directors may present honorary membership to persons who have made outstanding contributions to the advancement of girls athletics.  A special scroll or other suitable award may be presented.  Honorary members shall not be eligible to vote or hold office in TGCA.

 

            Section 3.  Good Standing.  A member in good standing is one whose annual dues are current.

 

 

 

 

                        ARTICLE IV.             DUES AND FEES

 

            Section 1.  Membership Dues.  Annual membership dues shall cover the period from June 1 to May 31 of the following year.

 

            Section 2.  Membership Deadlines.  Members must pay their membership dues by the November 1st deadline in order to qualify themselves and their athletes for any TGCA honor or award.

 

            Section 3.  Fiscal Year.  The fiscal year of the TGCA shall be from September 1 through August 31 inclusive.

 

 

 

                                                           

                        ARTICLE V.              OFFICERS

 

            Section 1.  Officers.

 

                 A.  The officers of the TGCA shall be a president, a first vice president, a second vice president-secretary, and a past president.  These officers shall perform the duties prescribed by this constitution and by the parliamentary authority adopted by the TGCA.

 

                 B.  At the annual meeting, a second vice president-secretary shall be elected by the active members of the TGCA.  The second vice president-secretary shall automatically succeed to the office of the first vice president the following year. The first vice president shall automatically succeed to the office of president.  The office of second vice president-secretary shall alternate between a female coach and a male coach.

 

            Section 2.  Qualifications.  In order to qualify for the office of second vice president-secretary, a member must have served on the Board of Directors of the TGCA for at least one year as either a junior or senior Director, or shall have served as the Chairperson of the Volleyball, Basketball, Track and Field, or Softball Committee for one year.

 

            Section 3.  Term of Office.

 

                 A.  Officers shall serve for one year or until their successors are elected.

 

                 B.  No officer shall serve for two consecutive terms in the same office.

 

            Section 4.  Vacancy in Office.  A vacancy in the office of president shall be filled by the first vice president.  A vacancy in the office of first vice president shall be filled by the second vice president-secretary.  A vacancy in the office of second vice president-secretary shall be filled by a senior director appointed by the president subject to approval of the Board of Directors. 

 

            Section 5.  Duties.

 

                 A.  The president shall:

 

                        (1)  Preside at all meetings of TGCA and the Board of Directors;

 

                        (2)  Appoint standing and special committees except as otherwise provided by this constitution;

 

                        (3)  Appoint committees for the annual coaches' school;

                       

                        (4)  Cooperate with and seek the support of the University Interscholastic League and other related organizations;

                                                                                   

                        (5)  Perform other duties incident to the office of president;

 

                        (6)  Attend Legislative Council and committee meetings of the University Interscholastic League.

 

                 B.  The first vice president shall:

 

                        (1)  In the absence of the president, perform duties of the office of president; and in the event of permanent disability or resignation of the president, shall succeed to that office for the unexpired term;

 

                        (2)  Become president after serving as first vice president;

 

                        (3)  Work closely with the president so as to become familiar with the duties of that office;

 

                        (4)  Be Chairperson of the Coaching School Program Committee;

 

                        (5)  Attend Legislative Council and committee meetings of the University Interscholastic League.         

 

                 C.  The second vice president-secretary shall:

 

                        (1)  In the absence of the president and first vice president, perform the duties of the office of president; in the event of a vacancy in the office of first vice president, succeed to that office for the unexpired term;

 

                        (2)  Become first vice president after serving as second vice president-secretary;

 

                        (3)  Be Vice Chairperson of the Coaching School Program Committee;

 

                        (4)  Work closely with the first vice president so as to become familiar with the duties of that office;

 

                        (5)  Record the proceedings of all meetings of the TGCA and the Board of Directors, and  present the minutes of the previous Board of Directors meeting for approval;

 

                        (6)  Provide the Executive Director with a copy of the minutes of the Board of Directors and the approved annual meeting within thirty (30) days following the meeting;

 

                        (7)  Attend Legislative Council and committee meetings of the University Interscholastic League.

 

                  D.  The immediate past president shall:

 

                        (1)  Serve as Chairperson of the Nomination Committee at the Summer Clinic;

 

                        (2)  Offer advice to the president, first vice president, and second vice president-secretary;

 

                        (3)  Solicit new corporate sponsors and report on progress of current corporate sponsors;

 

                        (4)  Attend Legislative Council and committee meetings of the University Interscholastic League;

 

                        (5)  Upon request of the president, be available to attend or serve on University Interscholastic League committees;

 

                        (6)  Meet with and secure input from University Interscholastic League staff concerning issues and proposals to be submitted by TGCA to the University Interscholastic League committees.

 

 

                       

                       

                        ARTICLE VI.             NOMINATIONS AND ELECTIONS

 

            Section 1.  Composition of Nominating Committee.  The Nominating Committee shall consist of the immediate past president as Chairperson and one member from each region who shall be elected in the manner provided  in Article XI hereof.

 

            Section 2.  Vacancies.  In the event the immediate past president is unable to serve as Chairperson, the president shall appoint any past president to act as Chairperson of the Nominating Committee.

 

            Section 3.  Meetings.  The Committee shall meet during the annual coaches' school, which is held in the summer.

 

            Section 4.  Duties.  It shall be the duty of the Nominating Committee to submit one nominee for the office of the second vice president-secretary at the annual meeting, at which time, nominations may be made from the floor.  The consent of the nominee to serve, if elected, shall have been secured.

 

            Section 5.  Eligibility.  Any active member in good standing who has served on the Board of Directors of TGCA for at least one year as either a junior or senior Director, or an active member in good standing who has served as Chairperson of the Volleyball, Basketball, Track and Field, or Softball Committee for at least one year.

 

            Section 6.  Vote.  The election of the second vice president-secretary shall be by hand/ballot unless there is but one nominee for office.  In that event, election shall be viva voce.  A majority vote shall elect.  The second vice president-secretary shall assume duties of that office at the close of the annual meeting at which he/she is elected.

 

 

 

                       

                        ARTICLE VII.            MEETINGS

 

            Section 1.  Annual Coaches' School (Annual Meeting)

 

                 A.  Annual coaches' school shall be held in the first full week after the 4th of July at a time and place determined by the Board of Directors for the purpose of electing a second vice president-secretary, receiving reports, and amending the constitution, and other business as may properly come before TGCA.

 

                 B.  The official call to the annual meeting giving the time and place of the meeting shall appear in the TGCA newsletter at least thirty (30) days prior to the date of the annual meeting.

 

                 C.  The annual coaches' school shall be open to all members and guests.  Members who are not classified as active members shall have all privileges except making motions, holding office, and voting.  The registration fee shall be determined annually by the Board of Directors.

 

                 D.  The voting body of the annual meeting shall be composed of active members in good standing.  A quorum shall be a majority of the active members present and voting at the annual coaches' school.

 

                 E.  Each member or guest attending the annual coaches' school shall pay the registration.

 

            Section 2.  Board of Directors.  Meetings of the Board of Directors of TGCA may be held quarterly or may be canceled as deemed necessary by the officers of the Association.

 

                 A.  During the annual coaches' school;

 

                 B.  In conjunction with the state volleyball tournament;

 

                 C.  In conjunction with the state basketball tournament; and

 

                 D.  In conjunction with the state softball tournament.

 

 

 

                       

                        ARTICLE VIII.           BOARD OF DIRECTORS

 

            Section 1.  Composition.  The members of the Board of Directors shall be the president, the first vice president, the second vice president-secretary, immediate past president, chairs of standing committees, regional directors. The Executive Director shall have no vote on the Board.

 

            Section 2.  Duties.  The Board of Directors shall:

 

                 A.  Have full power to act and conduct the business of TGCA between annual meetings;

 

                 B.  Approve all general expenses of the annual coaching school;

 

                 C.  Appoint a professional auditing firm to audit the financial records of the TGCA and report at the annual meeting;

 

                 D.  Appoint an Executive Director, amount of salary to be designated by the Board of Directors.  The appointee may be from within or outside the coaching profession.

 

            Section 3.  Meetings.  Regular meetings of the Board of Directors shall be held:

                

                 A.  Immediately prior to and following the general business meeting at the annual coaches' school;

 

                 B.  At the time of the state volleyball tournament;

 

                 C.  At the time of the state basketball tournament;

 

                 D.  At the time of the state softball tournament;

 

                 E.  Special Board of Directors meetings may be at the call of the president and shall be called by the president at the written request of five members of the Board.  Notice of a special meeting shall be given at least ten (10) days in advance of the meeting.

           

            Section 4.  Quorum.  Eight members shall constitute a quorum at the Board of Directors meetings.

 

 

 

 

                        ARTICLE IX.             EXECUTIVE COMMITTEE

 

            Section 1.  Composition.  The Executive Committee shall be composed of the elected officers: President; First Vice-President; Second Vice-President-Secretary; and Past President.

 

            Section 2.  Duties.  The Executive Committee shall:

 

                 A.  Be responsible for the transaction of necessary business between meetings of the Board and business that may be referred to it by the Board, and shall make a complete report of activity to the Board.

 

            Section 3.  Meetings.  Meetings of the Executive Committee may be called by the president, and shall be called by the president at the written request of two members of the Executive Committee.

 

            Section 4.  Voting.  A vote by mail is authorized when necessary.

 

            Section 5.  Quorum.  Three members shall constitute a quorum.

 

 

 

 

                        ARTICLE X.              STANDING COMMITTEES

 

            Section 1.  The standing committees shall be Cross Country, Volleyball, Basketball, Track and Field, Softball, Sub-Varsity, and Coaching School Program.

 

            Section 2.  Composition of Committees.  The Cross Country, Volleyball, Basketball, Track and Field, Softball, and Sub-Varsity standing committees shall consist of sixteen (16) representatives each elected by Texas Girls Coaches Association active members.

 

            Section 3.  Term and election.  Each region shall select one representative each for the Cross Country, Volleyball, Basketball, Track and Field, Softball, and Sub-Varsity Committees for a term of two (2) years.  1A, 2A, 3A, 4A shall elect a representative for cross country, volleyball, basketball, track and field and softball in even numbered years.  5A, 6A shall elect a representative for cross country, volleyball, basketball, track and field and softball in odd numbered years.  An alternate shall be elected each year for each division to serve in the event that either representative cannot serve a full term.  Sub-Varsity representatives and alternates are elected from the general membership with no conference requirements.  Two members of the Volleyball, Basketball, Track and Field, Softball, and Sub-Varsity Committees may attend the Board of Directors meetings and be placed on the agenda.

 

Section 4.  Chairperson.  The Chairperson of the Volleyball, Basketball, Track and Field, Softball, and Sub-Varsity Committees shall be elected by the Committee membership.  Each Committee Chairperson shall attend Board meetings and shall have one vote. 

           

Section 5.  Duties.  The Cross Country, Volleyball, Basketball, Track and Field, and Softball Committees shall:

 

        A.  Be in charge of All-Star player selection process;

 

        B.  Select All Star Coaches, Athletes of the Year and Coaches of the Year;

 

                 C.  Nominate honor award coaches;

 

                 D.  Provide input concerning girls cross country, volleyball, basketball, track and field, and softball activities to the Board of Directors;

 

                 E.  Carry out responsibilities as delegated by the Board of Directors;

 

                 F.  Be in charge of the All-Stars and their activities and events at the annual coaching school;

 

                 G.  Select an All-Star game MVP (Most Valuable Player) for volleyball, basketball and softball in 1A-2A-3A-4A and 5A-6A.    

 

            Section 6.  The Coaching School Program Chairperson shall plan, coordinate and conduct the activities of the annual coaches' school.  The first vice president shall serve as Chairperson and the second vice president-secretary shall serve as Vice Chairperson of the Committee.

 

            Section 7.  The Sub-Varsity Committee shall:

 

                 A.  Provide input to the Board of Directors concerning sub-varsity activities;

 

                 B.  Carry out responsibilities as delegated by the Board of Directors.

               

 

 

 

                        ARTICLE XI.             REGIONAL DIRECTORS

 

            Section 1.  Composition.  There shall be sixteen (16) regional directors.  The regions shall be designated by the TGCA.

 

            Section 2.  Election of Directors and Alternates.

 

                 A.  The regional directors shall serve for a term of four (4) years.  Each region shall elect one (1) junior director on either odd or even years in accordance with its region number.  An alternate shall be elected each year that a junior director is elected.  The election of the four (4) junior regional directors shall be made at the regional meetings held at the annual coaches' school.  The elected alternate shall serve in the event either regional director is unable to serve a full term.

 

                 B.  Only active members in good standing in each respective region shall be eligible to vote in the election of the director who shall serve on the Board of Directors.  Election shall be viva voce and a majority vote shall elect.

 

                 C.  Failure of a region to elect a director (to serve on the Board)  at the proper time shall leave the region without proper representation until it is that region's time to again elect a director.

 

                 D.  Should a director elected to serve on the Board from one region move to a school in another region or leave the coaching profession, that member shall forfeit his/her directorship and the alternate shall fill the vacancy for the unexpired term.

 

            Section 3.  Regional Office Elections.  At the regional meetings held at the annual coaches' school, the senior director shall conduct the respective elections of the following: 

                

                 A.  Junior director (if it is that region's year to elect a junior director);

 

                 B.  Alternate director (if a junior director is elected);

 

                 C.  Representative to the Nomination Committee;

 

                 D.  Nominee for second vice president-secretary.

 

Only coaches of the sport that is electing a committee member shall participate in the election of the following: 

 

                 E.  Junior Volleyball Committee member;

 

                 F.    Alternate Volleyball Committee member;

 

                 G.  Junior Basketball Committee member;

 

                 H.   Alternate Basketball Committee member;

 

                 I.     Junior Track and Field Committee member;

 

                 J.    Alternate Track and Field Committee member;

 

                 K.   Junior Softball Committee member;

 

                 L.    Alternate Softball Committee member;

 

                 M.   Junior Sub-Varsity Committee member;

 

                 N.   Alternate Sub-Varsity Committee member;

 

                 O.   Cross Country All-Star and All-State Committee member;

 

                 P.   Volleyball All-State Committee member;

 

                 Q.   Basketball All-State Committee member;

 

                 R.   Track and Field All-State Committee member;

 

                 S.   Softball All-State Committee member

                       

 

 

 

                        ARTICLE XII.            EXECUTIVE DIRECTOR

 

            Section 1.  Appointment.  TGCA shall employ an Executive Director who shall be the administrative head of the TGCA office.  This appointment shall be made by the Board of Directors.  This position may be filled from within or outside the TGCA.

 

            Section 2. Salary.  The salary to be paid the Executive Director shall be determined annually by the Board of Directors.

 

            Section 3.  Duties.  The Executive Director shall:

 

                 A.  Be a member of the Executive Committee and Board of Directors, but shall have no vote therein;

 

                 B.  Conduct correspondence of TGCA as directed by the president and TGCA;

 

                 C.  Maintain a current roster of members;

 

                 D.  Send notices of all meetings;

 

                 E.  Keep or cause to be kept all books and records of the TGCA, including all books or accounts;

 

                 F.  Provide a detailed financial report to the Board of Directors at each quarterly meeting;

 

                 G.  Provide each Director with an up-to-date copy of the TGCA constitution;

 

                 H.  Assist the newsletter editor in publishing the newsletter;

 

                 I.  Send copies of the minutes of Board of Directors meetings and annual coaching school minutes to all Board members within 45 days following the meeting;

 

                 J.  Perform such other duties as may be required of him/her by TGCA from time to time.

 

 

 

                                   

                        ARTICLE XIII.           PARLIAMENTARY AUTHORITY

 

            Robert's Rules of Order Newly Revised shall govern the proceedings of TGCA in all cases consistent with this constitution or any special rules of order TGCA may adopt.

 

 

 

                                                           

                        ARTICLE XIV.          AMENDMENT OF CONSTITUTION

 

            Section 1.  This constitution may be amended by two-thirds (2/3) vote of the active members present and voting at any annual meeting provided notice of the proposed amendment has been given at least thirty (30) days prior to the annual coaching school general meeting.

 

            Section 2.  Any active member wishing to propose an amendment shall submit said amendment in writing to the Board of Directors.  The proposed amendment, together with the recommendation of the Board of Directors shall be presented at the next annual meeting provided proper notice has been given.

 

            Section 3.  Revision.  This constitution may be revised only upon authorization by a majority vote of the TGCA.

 

                 A.  The TGCA shall authorize the appointment of a special committee for the revision.

 

                 B.  The proposed revision shall be submitted to the membership in the official call prior to the annual meeting at which action is to be taken.

 

                 C.  This constitution may be revised by a majority vote of the active members present and voting at the annual meeting at which action is taken, provided proper notice has been given.

 

                       

 

 

                        ARTICLE XV.                       DISSOLUTION

 

            Section 1.  Funds shall be used only to accomplish the purposes specified in the constitution and no part of such funds shall inure or be distributed to the members of the TGCA.  Upon dissolution of the TGCA any funds remaining shall be given to the Texas Special Olympic Foundation.

 

            Section 2.  This article is in compliance with 501 (c) (6) of the Internal Revenue Code.

 

 

 

 

 

 

 

                                                           


Standing Rules as Passed by Board of Directors:

 

 

1.  The president shall be an ex-officio member of all committees with the exception of the Nominating Committee.

 

2.  A $10.00 fee will be charged for a replacement membership card (November 18, 2001).

 

3.  A $25.00 fee will be charged for all returned checks given TGCA (November 18, 2001). 

 

4.  Lifetime memberships shall be awarded to all ex-presidents and Executive Directors.  Those choosing to attend Summer Clinic will pay the appropriate clinic fee (November 24, 2002).

 

5.  All-Star game fees: Members will be admitted free with Clinic badges; adults and children over five years of age $5.00 (March, 2018).

 

6.  If any member or officer of the Board of Directors with voting privileges granted by the bylaws of the Texas Girls Coaches Association misses two (2) scheduled Board of Directors meetings in a TGCA calendar year (September 1 to August 31), the member or officer will be required to submit to the Executive Director, in writing, the reason for the two (2) absences.  This notice must be submitted within two (2) weeks of the second absence.

     The Executive Director will submit the letter to the Executive Committee, and the Executive Committee will determine, by a majority vote, if the member or officer should be removed for failure to perform his/her duties as established by the bylaws of TGCA.  Three (3) members of the Executive Committee will be declared a quorum, and any officer guilty of two (2) absences must be excluded in the determination of said member’s fate with the Executive Committee.

7.  Sub-Varsity Coach of the Year Selection Committee: This committee shall be comprised of the members of the Sub-Varsity Committee and the Sub-Varsity Committee Vice Chair.  The committee will meet during the state track and field meet to make final selections for the Sub-Varsity and Middle School Coaches of the Year in 1A-2A-3A-4A and 5A-6A for cross country, volleyball, basketball, track and field and softball.  (June 6, 2004) (June 2, 2019).

 

8.      Mileage rate shall be raised from 0.30 cents per mile to 0.40 cents per mile (June 5, 2011).

 

9.  A private or parochial school must be affiliated with an accredited interscholastic association for their coaches to be allowed to be members of TGCA. (November 22, 2022)
